1. Agreement to Terms

By accessing or using Conte ("Service"), operated by Wisely Lda, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

2. Description of Service

Conte is an open banking transaction tracking platform that allows organizations to:

• Connect bank accounts via secure Open Banking APIs
• Track and categorize financial transactions
• Add explanations and attachments to transactions
• Manage expense reimbursements
• Collaborate within organizations
• Export financial data and reports

3. User Accounts

3.1 Account Creation

To use our Service, you must:

• Be at least 18 years old
• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

3.2 Organizations

Users must create or join an organization to access the Service. Organization administrators have additional responsibilities including managing members and permissions.

4. Acceptable Use

You agree not to use the Service to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or interfere with the Service
• Attempt unauthorized access to any accounts or systems
• Use the Service for illegal financial activities
• Harass, abuse, or harm other users
• Engage in fraudulent or deceptive practices
• Resell or redistribute the Service without permission

5. Financial Data and Open Banking

5.1 Bank Connections

By connecting your bank accounts, you authorize us to access your financial data through GoCardless (Nordigen) Open Banking APIs. You understand that:

• You must have legal authority to access the connected accounts
• We act as a data processor, not a financial advisor
• Bank connections may require periodic reauthorization
• You can revoke access at any time

5.2 Data Accuracy

While we strive for accuracy, we cannot guarantee that all financial data retrieved from banks is complete or error-free. You should verify important information with your bank directly.

6. Intellectual Property

6.1 Our Property

The Service, including its original content, features, and functionality, is owned by Conte and is protected by international copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of any content you upload (explanations, attachments, etc.). By uploading content, you grant us a license to use, modify, and display it as necessary to provide the Service.

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

8. Third-Party Services

Our Service integrates with third-party services including:

• GoCardless (Nordigen) for Open Banking
• Auth0 for authentication
• Google Drive for document storage

Your use of these services is subject to their respective terms and conditions. We are not responsible for third-party services' functionality or content.

9. Disclaimers

9.1 No Financial Advice

The Service is for informational and organizational purposes only. We do not provide financial, investment, tax, legal, or accounting advice. Consult appropriate professionals for such advice.

9.2 Service Availability

We strive to maintain Service availability but cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law, Conte shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of data or information
• Business interruption
• Personal injury or property damage

Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Conte, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or financial data

12. Termination

12.1 By You

You may terminate your account at any time by contacting support or using the account deletion feature.

12.2 By Us

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or engage in conduct we deem harmful to the Service or other users.

12.3 Effect of Termination

Upon termination, your right to use the Service will cease. We may retain certain data as required by law or for legitimate business purposes.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Braga, Portugal.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Conte regarding the use of the Service.
